Danish Supreme Court finds that fee for commercial waste disposal was levied unlawfully
According to today’s judgement, the administrative fee for commercial waste disposal levied by Danish municipalities from 2010 to 2018 on undertakings which did not produce waste was unlawful. The fee was levied on approximately 300,000 undertakings.

In a case between a lessor and a lessee, the Danish Eastern High Court found that improvements of leased premises carried out by the lessee should be disregarded and that such improvements can be considered to be permanent, even if the lessee has an obligation to restore the premises on vacation.

Plesner advises Tryg in possible acquisition of RSA together with Canadian Intact
Tryg A/S has together with Canadian Intact submitted a recommended cash offer of about DKK 60 billion for British RSA, which inter alia owns Swedish Trygg-Hansa as well as Danish and Norwegian Codan. If the transaction is completed, Tryg will acquire Trygg-Hansa and Codan in Norway, making Tryg the largest P&C insurance company in Scandinavia. Plesner is acting as advisor for Tryg in connection with the transaction.

Former employee wrongfully applied for a patent and exploited employer's trade secrets
The Maritime and Commercial High Court has just decided a leading case; ruling on a number of issues relating to intellectual property. The court decision specifies what it takes to constitute proper notification by an employee to an employer about an invention. Additionally, the decision addresses whether the employee exploits the employer's trade secrets by applying for a patent, and what it means if the employer itself decides to make the trade secrets public at a later point. Plesner represented the employer in the trial.

Fibia enters into new contractual framework for fibre wholesale network - Nuuday is first service provider
Fibia has opened its fibre network and has entered into the first wholesale agreement with Nuuday. Due to the wholesale agreement all customers on Fibia's network will be able to choose products from Nuuday from the beginning of the new year. The new collaboration will provide 500,000 families and businesses with new opportunities for delivery of broadband. Plesner advised Fibia on the drafting of the wholesale agreement and was also involved in the negotiations between Fibia and Nuuday.

Plesner advises Nuveen Real Estate on its first investment in Denmark
Nuveen Real Estate has entered into an agreement with Bach Gruppen for the purchase of a project of approximately 15,000 sqm comprising 390 flats suitable for students, a fitness centre and a café located in the area called Bryggens Bastion close to Islands Brygge in Copenhagen. The project is under construction and is expected to be completed during the second half of 2022. The development will also comprise a day-care centre for the municipality of Copenhagen and an underground car park.

Historic competition law case finally concluded
The Danish Competition Council is not granted leave to appeal case on alleged excessive pricing to the Danish Supreme Court. Bjørn Wiinblad Foundation wins licence agreement case
The Danish Eastern High Court has found in favour of the foundation of the late Danish artist and illustrator Bjørn Wiinblad (Bjørn Wiinblads Fond) in a matter concerning the interpretation of a more than 20 year-old licence agreement. The High Court found in favour of Bjørn Wiinblads Fond, ruling that the termination of a licence agreement by the foundation had been valid, thus commuting a decision by the Copenhagen Maritime and Commercial High Court of 2017. Plesner represented the foundation in the case.

Danish Supreme Court: Danish tax authorities may refuse deduction for part of salary with retroactive effect
The Danish Supreme Court has passed judgment in favour of the Danish tax authorities to the effect that the authorities may refuse a right to deduct part of payroll costs retroactively. The Danish Minister for Taxation has announced that new legislation will be introduced to mitigate the effects of the Danish tax authorities' change of practice. The Danish banks Arbejdernes Landsbank and Lån & Spar Bank against whom the proceedings were commenced were not successful in the Danish Supreme Court as opposed to in the Danish Eastern High Court. Plesner conducted the case on behalf of the banks.

Skaugen wins arbitration concerning fuel consumption on ship engines
In an arbitral award rendered by an ICC-tribunal on 17 May 2017, I.M. Skaugen (Norway) won a significant victory in a dispute with MAN Diesel & Turbo SE (Germany/Denmark) concerning the fuel consumption on marine diesel engines. The arbitral tribunal held that Plesner's client, I.M. Skaugen SE, could rightfully terminate a contract with MAN Diesel & Turbo SE concerning Skaugen's purchase and MAN's sale of two sets of marine diesel engines of the type 6L 48/60B (with related propellers). According to the award, Skaugen could do so as a consequence of the engines having a higher fuel consumption level than warranted by MAN Diesel, because MAN Diesel deliberately manipulated the official tests in order to conceal this, and finally because MAN Diesel subsequently withheld all information about these issues.

No discount to director in connection with bankruptcy-related disqualification
The usual period of bankruptcy-related disqualification is three years. Danish case law has developed the practice that the defendant director gets a discount of one year on the usual period of the bankruptcy-related disqualification of three years if the ruling on the bankruptcy-related disqualification is made more than one year after the issue of the bankruptcy order. In the decision the Danish Maritime and Commercial High Court established that despite the fact that the ruling was made about 18 months after the order, the defendant was not to be given a discount on the period of the bankruptcy-related disqualification as about six months of the case processing time could be attributed to the defendant.

The EU Court of Justice once again disqualifies Danish tax legislation
Yesterday, in a case of general public interest, the Court of Justice of the European Union ruled in favour of Masco Denmark ApS and Damixa ApS, establishing that section 11(6) of the Danish Corporation Tax Act on tax exemption for group related interest income is in conflict with EU law as the provision only applies in respect of interest paid by a Danish company. This was established by the Danish Board of Equal Treatment in a decision of 22 June 2016. In the specific case, an educational institution was entitled to dismiss a teacher who had been unfit for work for 7 months due to a whiplash and a concussion. The teacher's illness prevented him from participating in the labour market on an equal footing with others, but the duration of the illness of 7 months did not meet the requirement for long duration as defined by the Danish Anti-Discrimination Act.

Payroll tax - Danish High Court finds in favour of banks in a case of general public importance
The Danish Western High Court found in favour of Spar Nord Bank A/S' (formerly Sparbank A/S) claim that it was entitled to calculate payroll tax based on a breakdown of turnover under section 38 of the Danish Act on VAT (pro rata rate). The High Court found that the Danish Customs and Tax Administration has the authority to set aside a company's discretionary allocation of payroll costs on taxable and non-taxable activities based on an allocation of payroll costs based on turnover, if it is obvious that such allocation is not true and fair compared with the actual time spent. The High Court held that the bank's assessment based on the breakdown of turnover was misleading compared with an assessment of the actual use of resources. But the High Court did not find any basis for setting aside the bank's assessment as the Danish Customs and Tax Administration's assessment was not found to be more true and fair than that of the bank. Plesner conducted the cases on behalf of the bank.

Judgment in favour of banks in tax case of general public importance
It was a change of practice when in 2012 and 2013 the Danish tax authorities refused the Danish banks Arbejdernes Landsbank and Lån & Spar Bank to deduct payroll costs paid in connection with the acquisition of other banking activities. On 1 June 2016 the Danish Eastern High Court consequently found for the two banks in two of the cases brought by the Danish Ministry of Taxation against the banks where the High Court very clearly and unambiguously rejected the Danish tax authorities' attempt to tighten the practice with retroactive effect. Plesner conducted the cases on behalf of the two banks.

Today, the Danish Supreme Court conclusively found for businessman Peer Kølendorf in a very important action for damages instituted by the Danish Ministry of Taxation due to the Danish state's loss as a result of so-called VAT carousel fraud in which the IT business Comitel International had inadvertently become involved. Plesner represented Peer Kølendorf in the case.

Upper secondary schools save millions in consequence of case about property tax of general public importance
The Danish Western High Court established in a judgment of 8 January 2016 that the City of Aarhus is not entitled to impose so-called service charges on properties owned by upper secondary schools in Aarhus. The case is of general public importance, which means that public upper secondary schools in Denmark are not to pay service charges. Overall, the result is a significant amount running into millions annually that was otherwise to be taken from the education budgets. Plesner conducted the case on behalf of the seven upper secondary schools in Aarhus.

Electricity meter functionality is the consumer's responsibility
The Danish Eastern High Court established in a judgment of 6 January 2016 that if there is any doubt about an electricity meter reading consumers have to prove that the electricity meter is defective and does not show the actual consumption. New case law - loan granted shortly before bankruptcy was a pro forma loan
A loan agreement entered into between a debtor and his friend and former business partner one week before the debtor's bankruptcy must be set aside as it was a pro forma loan. This is the conclusion reached by the Danish Eastern High Court in its judgment of 28 October 2015. The decision is a contribution to the case law on pro forma issues in bankruptcy proceedings. Plesner acted as the trustee and conducted the case both before the District Court and the High Court.

The Danish Supreme Court finds for Takeda in a case of general public importance
In a judgment of 19 October 2015 the Danish Supreme Court found for Takeda A/S and established that the company had a right to deduct its costs relating to the intermediary banks in connection with a corporate bond issue in 2005. Victory half way through the "beneficial owner" cases
In the pending tax cases on "beneficial ownership" the Danish Ministry of Taxation has now, after exchanging pleadings for many years, acknowledged that the Danish rules in force up to 2008, according to which a higher tax rate was imposed on withholding tax compared to the ordinary corporate income tax rate, are in conflict with the right of free establishment of the EC Treaty. Plesner plays a leading role in the pending court cases in which questions will now be referred to the Court of Justice of the European Union for its assessment of the many other EU law issues of the cases.
