AnaCap Financial Partners to divest Oona Health and Dansk Sundhedssikring for DKK 2.25bn

The leading European mid-market private investor, AnaCap Financial Partners, has signed an agreement to indirectly divest its majority stake in Oona Health A/S, including its subsidiary, Dansk Sundhedssikring A/S. Plesner acted as legal counsel to AnaCap Financial Partners alongside Proskauer Rose.

AnaCap Financial Partners and minority shareholders have agreed to divest Oona Health A/S and its subsidiaries Dansk Sundhedssikring A/S, DSS Hälsa AB and PrimaCare A/S, to Topdanmark Forsikring A/S for DKK 2.25bn.

Founded in 2012 and headquartered in Herlev, Denmark, the Oona group is a leading digitally enabled private health services and insurance provider, delivering a best-in-class value proposition to both corporate and SME companies as well as private individuals in Denmark and Sweden. The Oona group provides health services, with more than 500,000 active life insurances and more than 14,000 corporate and SME customers and a revenue of DKK 700m for 2022.

AnaCap acquired its majority stake in the Oona group in 2019 where Plesner also acted as legal counsel, and the sale is expected to generate a 4x money multiple for AnaCap. Under AnaCap's ownership the Oona group expanded geographically and launched a number of new product lines, achieving a market share of 16% within private health insurances.

The transaction is subject to customary regulatory approvals and expected to close during 2023.
