Edenred to acquire Spirii

Edenred, a leading digital platform for services and payments and a worldwide leader in B2B Mobility solutions, has signed an agreement to acquire Spirii, a fast-growing Denmark-based global SaaS platform offering a broad range of electric vehicle (EV) charging solutions across Europe, from Spirii's founders and other shareholders. Plesner acted as legal counsel to Edenred on the transaction.

Founded in 2019 and headquartered in Copenhagen, Denmark, Spirii's aim has been to enhance global eMobility platform offerings and make EV charging seamless and accessible for all. With an already impressive global partner portfolio, presence in more than 18 markets, and leading offerings within pricing, payment, and energy management services, Spirii has experienced massive growth and evolved into a thriving business with more than 100 employees.

Listed on the Euronext Paris stock exchange, Edenred is a leading global mobility service provider, offering more than ninety programs enabling its 210,000 customers in Europe and Latin America to efficiently manage their fleets, optimize their costs and reduce their carbon footprint. In Europe, its customers can access more than 570,000 on-road charging points for electric and hybrid vehicles. Fleet managers can benefit from a comprehensive mixed-fleet management solution, enhanced by an array of value-added solutions through Edenred digital platform including toll solutions and VAT refund services.

Edenred’s acquisition of Spirii unites two pioneering entities with a shared vision for the future of electric mobility. It brings Spirii’s market-leading platform technology, global customer portfolio, and EV charging turn-key solutions together with Edenred’s established world-wide market presence and client base – consisting of more than one million business customers, two million merchants, and 60 million end-users.  

Closing of the transaction is subject to regulatory approvals.
