Unifaun and Consignor announce merger agreement

Unifaun, a leading Stockholm-based cloud Transport Administration Systems (“TAS”) platform, and Consignor, an Oslo-based cloud TAS platform, have entered into a definitive merger agreement. Plesner acted as lead counsel for Marlin Equity Partners, Unifaun’s majority owner, on the transaction.

Marlin Equity Partners, Unifaun’s current majority owner, has partnered with Francisco Partners, Consignor’s current majority shareholder, in the transaction to become equal shareholders in and together own a majority of the combined business offering best-in-class TAS solutions.

Unifaun and Consignor provide innovative and high-quality cloud TAS solutions to carriers, shippers and parcel recipients across the European transportation ecosystem. The merger creates a prominent global provider of cloud TAS solutions, bringing together two highly complementary and scalable SaaS-based products that will benefit from the collective best-of-breed feature/functionality and greater geographic coverage.

The transaction is subject to customary regulatory approvals. 

Marlin Equity Partners is a global investment firm with over $7 billion of capital under management. 

Plesner has assisted Marlin Equity Partners in a number of acquisitions over the years, including most recently the acquisition of Unifaun in the summer of 2020.

This is another example of M&A transactions where Plesner acts as lead counsel on the relevant client’s transactions in Northern Europe based on our knowledge of a client’s business, culture and requirements.
