Sampo plc successfully completes its public exchange offer to the shareholders of Topdanmark A/S

Sampo plc has successfully completed its exchange offer to the shareholders of Topdanmark A/S and has initiated a squeeze-out of the remaining minority shareholders.

On 7 August 2024, Sampo plc published the offer document and prospectus for its recommended public exchange offer to acquire all of the outstanding shares in Topdanmark A/S, and on 16 September 2024, Sampo plc announced a successful outcome of the offer, with Sampo plc holding approximately 92.6 percent of the shares in Topdanmark A/S, excluding treasury shares.

The new shares issued as consideration in the exchange offer were listed on Nasdaq Helsinki on 17 September 2024, and Sampo plc was subsequently listed on Nasdaq Copenhagen on 18 September 2024.

Today, Sampo plc has initiated a compulsory acquisition of the remaining minority shareholders in Topdanmark A/S, following the completion of which, Sampo plc will become the sole shareholder of Topdanmark A/S.
