Case News
Plesner acted as legal advisor to DBC Invest A/S on its acquisition of 100% of the shares in the biogas consultancy company Nordic Green Engineering ApS. The transaction represents a strategic investment by DBC Invest A/S to advance its long-term objectives and strengthen its position in preparation for future investor dialogues.

DBC Invest A/S, a company specialising in the operation and development of biogas assets, has acquired 100% of the shares in Nordic Green Engineering ("NGE"), a leading Danish consultancy and laboratory firm providing regulatory, environmental, safety, and technical advisory services to the biogas sector.

Through the acquisition, DBC strengthens its strategic position across the biogas value chain by integrating its existing platform with NGE’s capabilities in permitting, safety, sustainability certification, and regulatory compliance. NGE will continue to operate independently and provide expert advice to both DBC-owned facilities and its clients, maintaining its well-established reputation in the biogas industry.

The acquisition supports DBC’s ambition to consolidate its position in the Danish biogas market and position itself for future investor engagement. The integration of NGE’s laboratory services is also expected to enhance operational stability and optimize the performance of DBC’s plant portfolio.

Plesner’s Energy and Infrastructure team advised DBC Invest A/S on all legal aspects of the transaction, including due diligence and negotiation and drafting of the transaction documents.

Plesner’s core team consisted of Maria Holst Levin, Jakob Schmidt Jensen and Sarah Clement Nafti.
