Plesner advises Lemvig Biogasanlæg and Lemvig Varmeværk on the sale of Lemvig Biogas to Palisade Real Assets
The transaction forms part of a broader initiative to support the continued development of local green energy infrastructure in the Lemvig area and enable the long-term future supply of biogas to the European gas grid.
Plesner has advised the seller group throughout the entire process, including on the transaction structure, coordination of the many stakeholders involved, the preparation of the vendor due diligence report, negotiation of transaction documents, and the regulatory approvals required to support the future development of the project.
As part of the project's long-term development, the biogas plant is expected to be upgraded for injection into the European gas grid.
The matter required navigating a range of complex legal and commercial considerations, including the coordination of transaction documentation, asset transfers, municipal approvals, regulatory matters, and securing municipal support for the future heat supply structure in the Lemvig area, which formed a key objective of the transaction.
Following signing, Plesner continues to advise the seller group on the implementation of the transaction and the steps required to achieve closing.
The transaction remains subject to customary closing conditions.
