DBC Invest enhances its position by acquiring Dalgas A/S' substrate division

Case News
Plesner has advised DBC Invest A/S (DBC) on its acquisition of the Danish Biogas Substrate division under Dalgas A/S (formerly known as Hedeselskabet). The transaction was structured as an asset purchase and represents DBC's third strategic acquisition in 2025, strengthening DBC's position across the full biogas value chain by adding substrate procurement and handling capabilities to its existing operations.

DBC Invest A/S is a leading Danish biogas consultancy and laboratory firm focused on building a comprehensive platform across the biogas value chain. With three strategic acquisitions completed in 2025 – BioCarb Solution, Nordic Green Engineering, and now Danish Biogas Substrate – DBC has significantly expanded its capabilities in biogas production, engineering, substrate procurement, and carbon capture solutions. The company operates multiple biogas facilities and is positioning itself to attract substantial investment for future expansion projects.

The substrate division specialises in receiving and handling organic and mineral residual products from various industries, including agriculture and industry, and serves as a key supplier to Danish biogas plants. The business area complements DBC's existing operations and will work closely with other DBC departments, including Nordic Green Engineering's laboratory, Biological Service, and the Certificate Sales Department.

The acquisition of the Danish Biogas Substrate division therefore represents a natural extension of DBC's growth strategy, enabling the company to control more of the biogas value chain from substrate sourcing through to production and certification.

Plesner's Energy and Infrastructure team advised DBC Invest A/S on all legal aspects of the transaction, including due diligence, negotiation, and drafting of the transaction documents.

Plesner's core team consisted of Maria Holst Levin, Jakob Schmidt Jensen, and Amanda Ferdinand
