Sampo makes a mandatory no-premium offer for Topdanmark

The Finnish financial services group Sampo Group, which is listed on Nasdaq Helsinki, has triggered the obligation to make a mandatory no-premium offer to the shareholders in the Danish insurance company Topdanmark A/S, which is listed on Nasdaq Copenhagen. Plesner assists Sampo in connection with the mandatory no-premium offer.

Having actively acquired shares in Topdanmark, including by acquiring all the shares in Topdanmark held by Sampo's wholly owned subsidiary If P&C Insurance Holding Ltd., Sampo has obtained more than a third of the shares in Topdanmark. Under Danish stock market rules, Sampo must make a mandatory no-premium offer for all the remaining shares in Topdanmark.

Sampo has offered DKK 183 per share, the equivalent of the highest price that Sampo has paid in connection with its most recent acquisitions of Topdanmark shares.
 
Sampo is now to make public an offer document within four weeks.
